SpaceX and Cognition. A rejected offer in the AI coding arms race

Elon Musk’s SpaceX is on an AI shopping spree, and not everyone wants to be bought. Just five days after closing a staggering $60 billion acquisition of AI coding tool Cursor, the rocket company reportedly turned its attention to another player in the same space: Cognition, the startup behind autonomous coding agent Devin.

According to Bloomberg, SpaceX approached Cognition about a potential acquisition. The response was less than warm. Cognition, as the report puts it, simply did not engage — no negotiations, no interest. And in case anyone missed the message, chief executive Scott Wu made it public.

“Not for sale and we haven’t been talking,” Wu stated, shutting down the story with the kind of brevity you’d expect from a founder who has other plans. The disclosure landed on August 19, 2026.

The back-to-back moves paint a clear picture of where SpaceX’s ambitions are heading. Buying Cursor for $60 billion was already a colossal statement — an unmistakable signal that Musk’s empire wants to own the tools developers use to write software, not just rent them. Reaching for Cognition so soon afterward suggests the Cursor deal was less a one-off and more the opening play in a broader consolidation of the AI coding market.

Why coding tools? The category has become one of the hottest corners of the AI world. Developer productivity assistants and autonomous agents that can write, debug, and ship code are reshaping how software gets built, and whoever controls that stack controls an enormous slice of the future economy. For a company that already builds rockets, satellites, and its own sprawling software infrastructure, owning the pipeline that produces code is a strategically tidy fit.

Cognition, for its part, is a notable target. Its Devin agent made headlines as one of the first tools pitched as an autonomous “AI software engineer,” capable of handling coding tasks with minimal human hand-holding. That reputation makes it exactly the kind of asset a deep-pocketed acquirer might covet — and, apparently, exactly the kind of company confident enough to say no.

The episode is a useful reminder that even eye-watering valuations don’t guarantee a deal. Money talks, but so does a founder who believes his startup’s best days are ahead of it as an independent business. With SpaceX flush and clearly hunting, the question now is whether Cognition’s “not for sale” holds firm — or whether the next offer comes with more zeros.

For now, the tally stands at one blockbuster acquisition completed and one polite rejection filed. In the fast-moving world of AI coding, that’s a lot of drama for a single week.
